The dispositive issue in this appeal is whether appellant Phillip G. Henderson (Henderson) validly accepted an offer made pursuant to Federal Rule of Civil Procedure 68 to allow judgment to be entered against appellee Sterling, Inc. (Sterling). Because we conclude that Henderson did not validly accept Sterlings offer of judgment, we vacate the district courts judgment and remand for further proceedings.
